This Toki User Agreement (the "Agreement") governs your use of Toki's services (the "Services"), including the Toki App, a social content platform operated by {0000}, Limited ("we," "us," or "Toki"), with its registered address at {0000}. When using the Toki Services, you will be subject to Toki Privacy Policy and you be subject to additional guidelines or rules that are posted on the Toki Services or made available to you. We may also offer certain paid services, which are subject to any additional terms or conditions that are disclosed to you in connection with such services.
By using our Services, or by clicking on "Sign Up" during the registration process, you agree to all terms of this Agreement. We, at our sole discretion, may revise this Agreement from time to time, and the current version will be found at the following link: About us>User Agreement. By continuing to avail our Services, you agree to be bound by the revised Agreement.
You may only use our Service if you are 18 years or older, and if you are not subject to statutory age limit to enter into this Agreement according to the applicable laws and regulations in your country.We do not accept payments or do business with individuals or entities in Cuba, Iran, North Korea, Sudan, Syria, and the Crimean region. If you are from such regions, you may be prohibited from using the Toki Services.
You shall be solely responsible for the safekeeping of your Toki account and password. All behaviors and activities conducted through your Toki account will be deemed as your behaviors and activities for which you shall be solely responsible.
Toki allows users to distribute streaming live, use services, such as chat,forum postings, voice interactive services, and to participate in other activities in which you may create, post, transmit, perform, or store content, messages, text, sound, images, applications, code or other data or materials on the Services ("User Content"). Users of the TokiServices may also overlay music, graphics, stickers, virtual items and other features provided by Toki (" Toki Features") onto this User Content and transmit this User Content through the Toki Services. The views expressed by other users on the Toki Services (including through use of the virtual gifts) do not represent our views or values.
We show you ads, offers, and other sponsored content to help you discover content, products, and services that are offered by the many businesses and organizations that use Toki .
We employ dedicated teams around the world and develop advanced technical systems to detect misuse of our Toki Services, harmful conduct towards others, and situations where we may be able to help support or protect our community. If we learn of content or conduct like this, we will take appropriate action - for example, offering help, removing content, removing or restricting access to certain features, disabling an account, or contacting law enforcement.
In order to open an account, you will be asked to provide us with certain information such as an account name and password.
You are solely responsible for maintaining the confidentiality of your account and password, for restricting access to your computer, and for all activities that occur under your account or password. Please make sure the information you provide to Toki upon registration and at all other times is true, accurate, current, and complete to the best of your knowledge.
We may permit you to register for and log on to the Toki Services via certain third party services. The third party's collection, use and disclosure of your information will be subject to that third party service's privacy policy. Further information about how Toki collects, uses and discloses your personal information when you link your Toki account and with your account on any third party service can be found in our Privacy Policy.
We reserve the right to disable your user account at any time, including if you have failed to comply with any of the provisions of these terms, or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair the Toki Services or infringe or violate any third party rights, or violate any applicable laws or regulations.
If you no longer want to use our Services again, and would like your account deleted, please contact us via service@toki.cool, and we will provide you with further assistance and guide you through the process. Once you choose to delete your account, you will not be able to reactivate your account or retrieve any of the content or information you have added.
Your privacy is important to Toki . Please see our Privacy Policy for information relating to how we collect, use, and disclose your personal information, and how you can manage your online privacy when you use the Toki Services.
Your access to and use of the Toki Services is subject to these terms and all applicable laws and regulations. You agree that you will comply with these terms of Toki Services and Toki's Community Guidelines and will not:
i. create, upload, transmit, distribute, or store any content that is inaccurate, unlawful, infringing, defamatory, obscene, pornographic, invasive of privacy or publicity rights, harassing, threatening, abusive, inflammatory, or otherwise objectionable;
ii. impersonate any person or entity, falsely claim an affiliation with any person or entity, or access Toki accounts of others without permission, forge another person's identity, or content of information transmitted via the Toki Services, or perform any other similar fraudulent activity;
iii. defame, harass, abuse, threaten or defraud users of Toki , or collect, or attempt to collect, personal information about users or third parties without their consent;
iv. remove, circumvent, disable, damage or otherwise interfere with security-related features of the the Toki Services or User Content, features that prevent or restrict use or copying of any content accessible through the Toki Services, features that enforce limitations on the use of the Toki Services or User Content, or delete the copyright or other proprietary rights notices on the Toki Services or User Content;
v. reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Toki Services or any part thereof, except and only to the extent that this activity is expressly permitted by the law of your jurisdiction of residence;
vi. modify, adapt, translate or create derivative works based upon the Toki Services or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
vii. nterfere with or damage operation of the Toki Services or any user's enjoyment of them, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code;
viii. manipulate identifiers in order to disguise the origin of any User Content transmitted through the Twitch Services;
ix. interfere with or disrupt the Toki Services or servers or networks connected to the Toki Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Toki Services; use the Toki Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Toki Services, or that could damage, disable, overburden or impair the functioning of the Toki Services in any manner;
x. attempt to circumvent any content filtering techniques we employ, or attempt to access any service or area of the Toki Services that you are not authorized to access;
xi. use the Toki Services for any illegal purpose, or in violation of any local, state, national, or international law or regulation, including, without limitation, laws governing intellectual property and other proprietary rights, data protection and privacy.
Toki takes no responsibility and assumes no liability for any User Content or for any loss or damage resulting therefrom, nor is Toki liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter when using the Toki Services. Your use of the Toki Services is at your own risk. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the Toki Services will not contain any content that is prohibited by such rules.
You can only buy virtual tokens ("Tokens") and virtual gifts (Gifts), send Gifts to others, receive Gifts with monetary value, earn virtual credits ("Credits") and withdraw Credits if you are aged 18 (or age of majority in your jurisdiction) or older.
The price of the Tokens will be displayed at the point of purchase. All charges and payments for Tokens will be made in the currency specified at the point of purchase through the relevant payment mechanism. Currency exchange settlements, foreign transaction fees and payment channel fees, if any, are based on your agreement with the applicable payment provider.
You will be responsible for the payment of any Tokens purchased by you. Once your purchase has been completed, your user account will be credited with Tokens. Tokens can be used to purchase Gifts. Tokens cannot be exchanged for cash, or legal tender, or currency of any state, region, or any political entity, or any other form of credit. Tokens can only be used onToki and as part of our Toki Services, and cannot be combined or used in conjunction with other promotions, coupons, discounts or special offers, except those designated by us.
Except as otherwise set out in this Agreement, all sales of Tokens and Gifts are final, and we do not offer refunds for any purchased Tokens and Gifts. Tokens and Gifts cannot be converted into or exchanged for cash, or be refunded or reimbursed by us for any reason.
Users may create, post, transmit, perform, or store content, messages, text, sound, images, applications, code, or other data or materials on the Toki Services ("User Generated Content/UGC"). We also permit users to distribute pre-recorded audio-visual works and to use Toki Services, such as chat, bulletin boards, forum postings, and voice interactive services.
If you publish, post, display, submit, and/or upload any of your user-generated content (UGC) in connection with the Toki Services, unless otherwise specified in a written agreement between you and Toki that was signed by an authorized representative of Toki, you grant Toki and its sub-licensees the freedom to use, copy, modify, adapt, publish, translate, edit, dispose of, create derivative works of, distribute, perform, and publicly display such UGC (in whole or in part), as well as to incorporate such UGC into future or existing works of work, media, or technology.
The rights you have given with regard to UGC expire when you remove it from Toki Services or, generally speaking, when you close your account, with the exception of the following situations: (a) when we utilize it for promotional purposes; and (b) during the reasonable amount of time it takes to remove from backup and other systems.
By availing our Services, you hereby acknowledge and agree that we enforce and utilize both automated and manual mechanisms for content moderation. You explicitly understand and agree not to engage in the creation, dissemination, or promotion of content that falls within the following categories:
Unlawful Conduct: Any content that encourages, promotes, or facilitates activities that are illegal, encompassing, but not restricted to acts of violence, terrorism, illicit drug usage, or hate crimes.
Discriminatory Practices: Any content that directly or indirectly attacks, discriminates, or targets a person or group based on their race, ethnicity, religion, nationality, disability, sexual orientation, gender identity, or any other characteristics protected by law.
Threats and Harassment: Any content intended to intimidate, threat, harass, or that propagates violence against an individual or group; this includes but is not limited to cyberbullying and exposure of personal information without consent (doxing).
Child Sexual Abuse Content (CSAM): Any content depicting the sexual abuse of a minor. We have zero tolerance for CSAM; If you encounter any content within the Toki APP that potentially constitutes Child Sexual Abuse Material (CSAM), we urge you to report the incident to us following the guidelines stated in the "Children Safety" section of our Privacy Policy, or to the National Center for Missing & Exploited Children (NCMEC).
Violent or Dangerous Threats: Any content that conveys threats of violence or harm towards an individual or a group.
Intellectual Property Violations: Any content that infringes upon intellectual property rights, including unauthorized streaming or distribution of copyrighted material.
Misinformation and Disinformation: Any content that spreads verified false or misleading information, particularly information that could impact public health or safety.
Spam and Malicious Conduct: Any unsolicited commercial messages or attempts at phishing as well as the distribution of malware.
Self-Harm and Suicide Promotion: Any content that contributes to the glorification or encouragement of self-harm or suicide.
Please note that these guidelines are not exhaustive, and we reserve the right to remove or restrict access to other types of content at our discretion.
You understand and concur that in order to benefit from our Services, which includes viewing Content as well as using other features like the ability to upload or transmit Content through the Services or interact with other users, compliance with the stipulations set forth in these Terms is mandatory.
Toki retains the right to employ automated and semi-automated tools, and manual reviews of Content at its own accord. However, you acknowledge and consent that we might be unable to detect all Prohibited Content, and we extend no warranties to you in relation to any Content. Toki reserves the right, at its sole judgement and at any moment, to delete, decline to distribute, transmit, upload, display, or publish any material, content, or information furnished by you or any Content in order to enforce these Terms or for any other rationale we deem fit.
We advocate users to report any content believed to infringe these terms or our policies by employing the provided reporting tools embedded in our Services.
In the event Toki concludes that you have contravened these Terms or Toki's Policies, inclusive of uploading or submitting Prohibited Content, Toki possesses the right to impose limitations on your usage of Toki's Services. These limitations will be contingent upon the frequency and severity of your transgressions and may include the removal of content if your content is found to violate our Terms or Policies, suspension or termination of your account based on the severity of violation. These measures are enacted to uphold the safety, integrity, and quality of our platform for the advantage of all users.
Your UGC and the repercussions of uploading, publishing, transmitting, or otherwise making your UGC public on the Toki Services are entirely your responsibility. you bear no duty whatsoever for its appropriateness, correctness, legality, or reliability. Regarding the accuracy or substance of any User Generated substance (UGC) that you or any other Toki Service user submits, we neither guarantee nor are we accountable to any third party. We have no control over the user-generated content (UGC) you submit or contribute, and we offer no guarantees of any kind about user-submitted or contributed UGC.We are not required to examine user-generated content (UGC), even if we do it occasionally. We shall not be held accountable or liable in any kind for any claim pertaining to user-generated content (UGC) that is submitted by users.
Furthermore, unless you have permission from the material's rightful owner or you are otherwise legally permitted to provide the material and to grant the Toki Services all of the license rights granted herein, you further agree that any user-generated content (UGC) you submit to the Toki Services will not contain material protected by copyright or subject to other third-party proprietary rights.
The opinions, recommendations, and advice stated in any UGC posted by users or other licensors are not endorsed by Toki Services, and any liability associated with UGC is explicitly disclaimed by Toki Services.
It should be noted that Toki has no control over, affiliation with, or warranty of any kind regarding any Third-Party Content, including without limitation any information on its correctness or completeness. Please be advised that we do not produce, maintain, or watch over Third-Party Content. As a result, any Third-Party Content on the Toki Services is not our responsibility.
The choice of whether or not to use or access third-party websites or applications (the "Reference Sites") that are linked from the Toki Services is yours. Toki disclaims all liability and makes no representations or guarantees of any kind regarding the Reference Sites, nor does it control or recommend any such Reference Sites or the data, materials, goods, or services available on or via Reference Sites. Furthermore, any communication or transaction you have with advertisers located on or via the Toki Services, as well as any promotions you take part in, are strictly between you and that advertiser. You bear all liability for your access to and use of Reference Sites and the content, materials, goods, and services on or made accessible via Reference Sites.
We accept major credit cards, certain debit cards and/or such other payment methods we may make available to you from time-to-time through our site, as forms of payment. You are subject to all terms and conditions of the payment method you choose. By submitting an order through the Service, you authorize us, or our designated payment processor, to charge the account you specify for the purchase amount.
Our payment processing partners may request that you provide certain personal data (e.g., a valid government issued ID, your legal name, address, and date of birth) for the purpose of making payment through its financial institutions and complying with applicable international, national, federal, state, and local laws and regulations. They may also communicate directly with you regarding any issues with a payment.
a. Generally. From time to time, Toki may offer products and services for purchase ("in app purchases") through the App Store, Google Play Store, carrier billing, Toki direct billing or other payment platforms authorized by Toki. If you choose to make an in app purchase, you will be prompted to confirm your purchase with the applicable payment provider, and your method of payment (be it your card or a third party account such as the Google Play Store or App Store (your "Payment Method") will be charged for the in app purchase at the prices displayed to you for the service(s) you've selected as well as any sales or similar taxes that may be imposed on your payments, and you authorize Toki or the third party account, as applicable, to charge you.
b. Auto-Renewal,Automatic Card Payment: If you purchase an auto-recurring periodic subscription through an in-app purchase, your Payment Method will continue to be billed for the subscription until you cancel. After your initial subscription commitment period, your subscription will automatically continue for an indefinite period, at the price you agreed to when subscribing unless you cancel your subscription before the renewal date. Your card payment information will be stored and subsequently used for the automatic card payments in accordance with the Agreement.
c. Objections to a payment already made should be directed to Customer support if you were billed directly by Toki or the relevant third-party account such as the App Store. You are also able to object by contacting your bank or payment provider, who can provide further information on your rights as well as applicable time limits. You may unconditionally withdraw your consent to automatic card payments at any time by going to Settings on Toki or the relevant third party account but be advised that you are still obligated to pay any outstanding amounts.
d. If you want to change or terminate your subscription, it is easiest to log in to your third-party account (or Settings on Toki, if applicable) and follow the instructions to terminate or cancel your subscription, even if you have otherwise deleted your account with us or if you have deleted the Toki application from your device. Deleting your account on Toki or deleting the Toki application from your device does not terminate or cancel your subscription.
e. Virtual Items: You can only buy virtual currency and virtual gifts, send Gifts to others, receive Gifts with monetary value, earn virtual credits and withdraw credits if you are aged 18 (or age of majority in your jurisdiction) or older.
The user confirms that he/she has carefully confirmed his/her account number and carefully selected and/or entered the recharge account number, recharge amount and other related operation options before recharging. If the user recharges the wrong account number, recharge amount, recharge type, etc. due to factors such as incorrect account number or amount input, improper operation or lack of understanding of recharge billing methods, thereby damaging his/her own rights and interests, the resulting losses shall be borne by the user and Toki will not make any compensation or compensation.
All purchases and redemptions of Virtual Items made through the Service are final and non-refundable. You acknowledge that Toki is not required to provide refunds for any reason and that you will not receive any payment or other compensation for unused Virtual Items upon account closure, whether voluntary or involuntary.
f. Pricing. Toki operates a global business, and our pricing varies by several factors. We frequently offer promotional rates - which can vary based on region, length of subscription, bundle size and more. We also regularly test new features and payment options.
All text, data, images, graphics, audio and/or video information and other materials within the Toki Services provided by Toki are property of Toki are protected by copyright, trademark and/or other property rights laws. Nothing in this Agreement shall be construed as conferring any license of any intellectual property rights or such materials by Toki to you.
By using and/or uploading any live stream content or other content through a Toki Services to publicly accessible areas of Toki website, you grant to Toki and its sub-licensees the permission, free, permanent, irrevocable, non-exclusive and fully sub-licensable rights and license, without any territorial or time limitations and without requiring any approvals and/or compensations, to use, copy, modify, adapt, publish, translate, edit, dispose, create derivate works of, distribute, perform and publicly display such content (in whole or in part), and/or incorporate such content into existing or future forms of work, media or technology.
To the fullest extent permitted by applicable law, Toki reserves the right, without notice and in our sole discretion, to terminate your license to use the Toki Services (including to post User Content), and to block or prevent your future access to and use of the Toki Services, including where we reasonably consider that: (a) your use of the Toki Services violates this Agreement or applicable law; (b) you fraudulently use or misuse the Toki Services; or (c) we are unable to continue providing the Toki Services to you due to technical or legitimate business reasons. This includes the ability to terminate or to suspend your access to any purchased products or services. To the fullest extent permitted by applicable law, your only remedy with respect to any dissatisfaction with (i) the Toki Services, (ii) any term of these terms of Toki Services, (iii) any policy or practice of Toki in operating the Toki Services, or (iv) any content or information transmitted through the Toki Services, is to terminate your account and to discontinue use of any and all parts of the Toki Services.
You shall be fully responsible for any risks involved in using Toki Services. Any use or reliance on Toki Services will be at your own risk.
Under no circumstance does Toki guarantee that the Services will satisfy your requirements, or guarantee that the Toki Services will be uninterrupted. The timeliness, security and accuracy of the Toki Services are also not guaranteed. You acknowledge and agree that the Toki Services is provided by Toki on an "as is" basis. .
Toki does not guarantee the accuracy and integrity of any external links that may be accessible by using the Toki Services and/or any external links that have been placed for the convenience of you. Toki shall not be responsible for the content of any linked site or any link contained in a linked site, and Toki shall not be held responsible or liable, directly or indirectly, for any loss or damage in connection with the use of the Toki Services by you. Moreover, Toki shall not bear any responsibility for the content of any webpage that you are directed via an external link that is not under the control of Toki .
Toki shall not bear any liability for the interruption of or other inadequacies in the Toki Services caused by circumstances of force majeure, or that are otherwise beyond the control of Toki.
This Agreement shall be governed by and construed in accordance with the laws of {0000}, without regard to choice of law principles. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the {0000}, which rules are deemed to be incorporated by reference in this clause.
All requests for information or documents related to potential, anticipated or current legal proceedings, investigations or disputes, or for third party user information, from any TokiServices must be made using the appropriate level of legal process, and must be properly served on Toki via {0000}, Limited .
We amend these terms of the Agreement from time to time, for instance when we update the functionality of our Services, when we combine multiple apps or services operated by us or our affiliates into a single combined service or app, or when there are regulatory changes. We will use commercially reasonable efforts to generally notify all users of any material changes to these terms, such as through a notice on Toki platform. However, you should look at the Agreement regularly to check for such changes. Your continued access or use of theToki Services after the date of the new terms constitutes your acceptance of the new terms. If you do not agree to the new terms, you must stop accessing or using the Toki Services.
This Agreement constitutes the entire agreement of agreed items and other relevant matters between both parties. Other than as stipulated by this Agreement, no other rights are vested in either Party to this Agreement.
If any provision of this Agreement is rendered void or unenforceable by competent authorities, in whole or in part, for any reason, the remaining provisions of this Agreement shall remain valid and binding.
